When object clauses stop being archival
Object clauses look archival until they are not. We frequently see product launches stalled because customer contracts or government portals ask for constitutional comfort the MoA does not yet reflect.
Sequencing MoA work before commitments harden
The amendment path is solvable—special resolution, Form MGT-14, and careful wording—but it should be sequenced before external commitments harden. Counsel, company secretary, and finance should agree on the effective date narrative for revenue recognition and tax positions.
After the board approves
After approval, update internal policy packs and delegation norms. Boards underestimate how many "small" authorisations still cite old objects in signing matrices.
